Article I--Name
Section 1. This organization shall be known as the North Dakota - Manitoba Chapter
of the Association of College Research Libraries (hereafter ACRL).
Article II--Objectives
Section 1. The objectives of this organization shall be:
a. To promote and speak for the interests of academic and
research libraries and librarianship in North Dakota and Manitoba.
b. To provide an opportunity for discussion and exchange of ideas
for persons interested in academic and research libraries.
c. To contribute to the total professional development of
academic and research librarians.
d. To improve service capabilities of academic and research libraries.
e. To promote study and research relevant to academic and
research librarianship and library education.
f. To foster cooperation between and among academic and research libraries.

Article III--Membership
Section 1. There shall be two levels of Membership:
a. Voting Members. Voting Membership in the North Dakota Manitoba
Chapter of the Association of College and Research Libraries shall
be open to any person:
(1) Who resides within North Dakota or Manitoba or is
employed by an academic or research library located within North
Dakota or Manitoba
or
(2) Has an interest in academic or research libraries and
(3) Who has joined the Chapter and paid the dues imposed by
the Chapter.
b. All Voting Members shall be entitled to equal rights and
privileges in the Association.
c. Nonvoting Members. Levels. The members may establish one or
more levels of nonvoting Members by resolution and may assess dues
on such nonvoting Members. Unless otherwise specifically stated all
references to "Members" relate to Voting Members and not
to nonvoting Members.
d. All changes in the North Dakota Manitoba ACRL Chapter dues,
and any fees, grants, or research assessments under consideration by
the ACRL Chapter require a two thirds majority vote of the members
responding on a mailed ballot or present at a business meeting.
Section 2. The membership year shall be September 1st to August 31th
of each year. Memberships will be accepted throughout the year for
the current membership year.

Article IV--Officers/Duties
Section 1. Officers:
Officers of the Chapter shall be a Chair, Chair-elect, a Secretary, and a
Treasurer. All officers shall be elected by the Chapter membership.
The immediate Past-Chair remains an officer, ex-officio. The North Dakota
Manitoba ACRL Chapter Chair, Chair-elect, and Secretary must be members of the
national ACRL.
Section 2. Duties:
a. The North Dakota Manitoba ACRL Chapter Chair shall:
(1) Act as the chief administrative officer, preside at all Chapter
meetings, and appoint committees necessary to conduct business.
(2) Act as the chief administrative officer regarding national
ACRL activities, promote the objectives of ACRL throughout the state
and province, maintain ACRL records and newsletter files, and
provide information to members regarding ACRL activities, send
reports of meetings to ACRL Chapter Topics, and to the Executive
Director of ACRL.
(3) Represent the ACRL Chapter at national and regional ACRL meetings,
including acting as the Chapter delegate to the National ACRL meetings, and
as the voting member of the North Dakota Manitoba ACRL Chapter. If
unable to attend the Chair will appoint a replacement representative.
(4) Promote and carry out other details of the North Dakota
Manitoba ACRL relationships with the national Association of College
& Research Libraries including preparation of the Chapter budget.
(5) Appoint a member to serve as the ACRL local legislative
representative. The ACRL legislative representative shall provide
information to the National ACRL office concerning issues of
interest to ACRL before legislative bodies and communicate ACRL's
interests to those bodies. The ACRL legislative representative may
be any member of the Chapter.
(6) Call and preside over meetings of the Executive Committee.
b. The North Dakota Manitoba ACRL Chapter Chair-elect shall:
(1) Be responsible for the planning and preparation of the program at the
spring meeting.
(2) Preside at meetings in the absence of the Chair.
(3) Undertake responsibilities as assigned by the Chair.
(4) Succeed to the office of Chair of the North Dakota Manitoba ACRL.
c. The North Dakota Manitoba ACRL Chapter Secretary shall:
(1) Serve as Secretary to the Chapter.
(2) Record and distribute minutes of the ACRL meetings to the
members of the Chapter.
(3) Assist the North Dakota Manitoba ACRL Chair with the
maintenance of ACRL records and newsletter files, and help to
provide information to members regarding ACRL activities.
d. The North Dakota Manitoba ACRL Chapter Treasurer shall:
(1) Serve as Treasurer to the Chapter.
(2) Manage the Chapter's funds, pay bills, balance the checking account
and prepare and present a report for the annual business meeting,
(3) Maintain the membership roster, send notices for renewal of
membership by August 1st of each year and collect such dues
as may be imposed.
e. The North Dakota Manitoba ACRL Chapter immediate Past Chair shall:
(1) Chair the Nominating Committee
(2) Prepare the election ballot and announce the results.

Article V--Executive Committee
Section 1. The Executive Committee of the North Dakota Manitoba ACRL shall
consist of the Chapter Chair, Chapter Chair-elect, the Secretary, the immediate
Past Chair, the Treasurer and an elected member-at-large.
Section 2. A majority of the Executive Committee shall constitute a quorum for
the transaction of Executive Committee business.
Section 3. The North Dakota Manitoba ACRL Chapter Executive Committee may
conduct necessary business of the Chapter including filling any vacancy which
may occur in any of the offices.

Article VI --Election of Officers/Term of Office
Section 1. The Nominating Committee shall be established prior to the election.
Section 2. Election of officers shall be held in October of each year.
Section 3. All elections shall be conducted by mail ballot prepared by
the Nominating Committee. The ballot, which shall provide for
write in votes, shall be mailed to the voting membership at least
thirty (30) days prior to the election.
Section 4. All members of the Executive Committee shall serve one
year terms, with the exception of the Treasurer, who shall serve
a three-year term. No officer shall simultaneously hold more
than one office.
Section 5. The term of office for elected officers shall begin upon
announcement of the election results.
Section 6. Resignation of an officer will become effective immediately
or on the date specified therein and a vacancy will be deemed to exist as
of such effective date. Any vacancy occurring, whether by
resignation, removal, death or otherwise, shall be filled for
the duration of an unexpired term by appointment made by the
Executive Committee, except in the office of Chair which shall be
filled by the respective Chair-elect who will become the Chair for
the unexpired term of the Chair and for the next succeeding term.
Section 7. Any officer moving permanently from the region must resign
from office.

Article VII--Meetings
Section 1. Meetings of Members shall be held at any location designated
by the Chair within Manitoba or North Dakota. The annual meeting shall be
conducted in the spring and shall include a program.
Section 2. The Chapter shall hold its annual business meeting at its
spring meeting. Additional general North Dakota Manitoba ACRL Chapter
meetings may be called as necessary.
Section 3. Special meetings may be called by the Chapter Chair. No
business other than that specified as the purpose in the notice of the
special meeting shall be discussed or transacted at such special meeting.
Section 4. 25% of the Chapter members shall constitute a quorum.
Section 5. Notice of Members' Meetings. Written notice, stating the
place, day, and hour of the meeting, and in the case of a special meeting
the purpose or purposes for which the meeting is called, must be delivered
not less than ten (10) nor more than sixty (60) days before the date of
the Members' meeting. Notice may be given either personally, by mail, or
by email to each Member entitled to vote at such meeting.
Section 6. Waiver of Notice of Members' Meeting. Notice of the time,
place, and purposes of any meeting of Voting Members may be waived in
writing, either before or after the holding of such meeting, by any
Member, which writing shall be filed with or entered upon the records of
the meeting. The attendance of any Member at any such meeting without
protesting, prior to or at the commencement of the meeting, the lack of
proper notice shall be deemed to be a waiver by him of notice of such
meeting.
Section 7. Members' Meetings by Communications Equipment. Meetings of
the Voting Members may be held through any communications equipment if all
persons participating can participate and participation in a meeting
pursuant to this Chapter shall constitute presence at such meeting.
Section 8. Action by Members Without a Meeting. Any action which may be
authorized or taken at a meeting of the Voting Members may be authorized
or taken without a meeting with the affirmative vote or approval of, and
in a writing or writings signed by, a majority of the Voting Members.
Section 9. Ratification. Any Voting Member not present at a meeting may
ratify the validity and actions that took place in such meeting.
Section 10. Meetings of the North Dakota Manitoba Chapter of the Association
of College and Research Libraries shall be conducted using The Standard
Code of Parliamentary Procedure, 3rd Edition, by Alice Sturgis.

Article VIII--AMENDMENTS
Section 1. The constitution may either be amended by a majority vote of
Chapter members attending the spring meeting or by a majority of the
Chapter members who send in a mail ballot.
Section 2. The approved amendments shall be presented to the Chapter
membership thirty (30) days prior to the meeting or mailing of the ballot.
Article IX--Dissolving and Winding Up the Association
Section 1. The Chapter may be dissolved by a majority vote of Chapter
members attending a regular or special meeting or by a majority of the
Chapter members who send in a mail ballot on the issue.
Section 2. A petition to dissolve the Chapter shall be presented to the
Chapter membership thirty (30) days prior to the meeting or mailing of the
ballot and shall specify its purpose.
Section 3. Upon adoption of the petition to dissolve the Chapter the
Executive Committee shall provide for the orderly winding up business of
the Chapter which shall include the payment of outstanding bills,
notification of the appropriate bodies and the transfer of assets and
records to the successor entities if any.
